These Terms and Conditions of Use ("Terms") govern your access to and use of the services provided by Master Collective, a trading name of YouYaa FZCO ("Master Collective", "we", "us", or "our"), a Free Zone Company (FZCO) duly incorporated and existing under the laws of the Dubai Silicon Oasis Authority (DSOA), with its registered office at DSO-IFZA, IFA Properties, Dubai Silicon Oasis, Dubai. Registration Number DSO-FZCO-22901. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
By creating a profile, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, located at https://www.mastercollective.ai/privacy-policy.
Users must be at least 18 years old and have the legal capacity to enter into contracts under the laws of Dubai, UAE. By using the Platform, you represent and warrant that you meet these eligibility requirements.
4.1. Master Collective provides a technology platform designed to facilitate connections between Founders and Investors through data-driven matching and networking opportunities. Our services include profile creation, AI-powered matching algorithms, and communication tools.
4.2. AI Matching Disclaimer: While our AI matching system is designed to identify relevant connections based on provided data, Master Collective does not guarantee the accuracy, completeness, or suitability of any match. The effectiveness of the AI is dependent on the quality and comprehensiveness of the information provided by Users. Users are solely responsible for verifying the suitability of any connection made through the Platform.
4.3. No Guarantee of Investment: Master Collective does not guarantee that any Founder will secure investment or funding through the Platform. Our role is to facilitate introductions and connections based on shared criteria.
4.4. No Guarantee of Networking Connection: Master Collective does not guarantee that any User will establish a specific number or type of networking connections. The success of connections depends on various factors, including the completeness and accuracy of profiles, market conditions, and mutual interest.
4.5. User Responsibility and Due Diligence: The decision to engage, connect, invest, or seek investment remains solely with the individual Users of the Platform. Master Collective acts as a technology intermediary and does not endorse, recommend, or make representations regarding the suitability, legality, or quality of any User, investment opportunity, or funding request. Users are strictly responsible for conducting their own independent due diligence, background checks, and legal/financial verification of any potential connections or opportunities. Master Collective shall not be liable for any losses resulting from a User's failure to perform adequate due diligence.
4.6. No Financial Advice or Regulated Activity: Master Collective does not provide financial, legal, tax, or investment advice. Master Collective is not a broker-dealer, investment advisor, or financial institution. We do not participate in negotiations, provide valuations, or handle investment funds. All information provided on the Platform is for informational purposes only. Our services are limited to providing a technology platform for networking and matching.
5.1. Founder Subscription Fee: Founders are required to pay a monthly subscription fee of USD 99 (Ninety-Nine US Dollars) to access the Platform services.
5.2. Subscription Term and Cancellation:

Networking and Consultancy Fee: In the event of a successful full or partial investment or funding round ("Successful Raise") resulting from a connection made through the Platform, Master Collective (through YouYaa FZCO) shall be entitled to a Networking and Consultancy Fee of 1% (one percent) of the total investment amount. This fee is payable by the Founder upon the closing of the investment round or execution of the funding agreement.
5.4. Reporting Obligations: Founders are strictly obligated to notify Master Collective in writing within five (5) business days of the closing of any Successful Raise involving an Investor introduced through the Platform. This obligation remains in effect for twenty-four (24) months following the termination of the Founder's subscription.
5.5. Non-Circumvention: Users agree not to circumvent, avoid, bypass, or obviate Master Collective, directly or indirectly, to avoid the payment of fees. Any attempt to engage in a transaction with a Party introduced through the Platform without disclosing such transaction to Master Collective shall constitute a material breach of these Terms, and Master Collective reserves the right to seek the full fee amount plus legal costs.
5.6. Investor Access: Access to the Platform for Investors is provided at no cost ("Free Forever").
5.7. Payment Terms: All subscription fees are payable in advance via Stripe or such other payment processor as we may designate. Fees are non-refundable, except as expressly stated otherwise in these Terms or as required by applicable law. You authorize us to charge your designated payment method for all applicable fees.
6.1. Account Creation: To access certain features of the Platform, you must register for an account and provide accurate, complete, and current information.
6.2. Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.
6.3. Accurate Information: You agree to provide truthful, accurate, and complete information in your profile and any communications on the Platform. Misrepresentation may lead to account suspension or termination.
6.4. Compliance with Laws: You agree to comply with all applicable laws and regulations of Dubai, UAE, and any other relevant jurisdiction, including but not limited to data protection laws, anti-money laundering regulations, and financial services regulations.

7.1. All content, trademarks, service marks, logos, and other intellectual property on the Platform are the property of YouYaa FZCO or its licensors and are protected by intellectual property laws.
7.2. You retain ownership of any content you submit to the Platform. By submitting content, you grant Master Collective a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing, improving, and promoting the Services.
7.3. Feedback: Any feedback, comments, or suggestions you provide regarding the Platform or Services is entirely voluntary, and Master Collective shall be free to use such feedback as it sees fit and without any obligation to you.

9.1. To the maximum extent permitted by law, YouYaa FZCO and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content.
9.2. Aggregate Liability: In no event shall the aggregate liability of YouYaa FZCO for all claims related to the Services exceed the total amount of fees paid by you to Master Collective in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless YouYaa FZCO, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, and the applicable federal laws of the UAE. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
Upon the formal establishment of Master Collective as a DIFC-based entity, and its designation as the primary contracting party, the governing law and jurisdiction clauses herein shall be updated to reflect the laws of the Dubai International Financial Centre (DIFC) and the exclusive jurisdiction of the DIFC Courts, respectively. Users will be notified of such changes in accordance with Section 12 (Amendments).
We reserve the right to modify or update these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.
Master Collective shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
